Performance Agreement & Terms and Conditions

These Terms and Conditions form part of the agreement between Kodiak Avenue ("the Performers") and the Client.
1. BOOKING DEPOSIT & PAYMENT TERMS
A deposit is required to secure the booking date. Dates cannot be held or confirmed until the deposit has been received. Please arrange payment at your earliest convenience to confirm your booking.
The agreed performance fee, event date, venue and performance details will be confirmed with the Client at the time of booking.
The agreed booking deposit is non-refundable, except where Kodiak Avenue are unable to fulfil the booking and no suitable replacement can be arranged.
Payment of the deposit confirms acceptance of these Terms and Conditions.
2. OUTSTANDING BALANCE
The remaining balance must be paid by bank transfer no later than seven days before the event date. An invoice for the outstanding balance will be issued approximately two weeks before the event.
If the outstanding balance is not received by the due date, the Performers reserve the right to withdraw from the booking. In such circumstances, the deposit will remain non-refundable.
3. CANCELLATION BY THE CLIENT
If the Client wishes to cancel the booking, the following cancellation charges will apply:
• More than 90 days before the event: The deposit will be retained. Any additional payments made will be refunded.
• 31–90 days before the event: 50% of the total booking fee is payable.
• 15–30 days before the event: 75% of the total booking fee is payable.
• 14 days or less before the event: 100% of the total booking fee is payable.
Where the Client has already paid more than the applicable cancellation charge, the difference will be refunded.
If the applicable cancellation charge has not yet been paid, the Client remains liable for the outstanding amount.
Kodiak Avenue may, at our discretion, waive or reduce cancellation charges where the cancelled date is successfully rebooked with another client.
Where the Client cancels at short notice due to adverse weather, the cancellation charges in this section will apply where Kodiak Avenue remain willing and able to perform safely. Any genuine force majeure event will be dealt with under Sections 4 and 9.
4. CANCELLATION BY KODIAK AVENUE / ILLNESS / FORCE MAJEURE
In the unlikely event that Kodiak Avenue are unable to attend or perform due to illness, accident, emergency or circumstances beyond our reasonable control (force majeure), we will make every reasonable effort to notify the Client as soon as possible.
Where practicable, Kodiak Avenue will use our best endeavours to source a suitable replacement performer or act for the booking. However, we cannot guarantee that a suitable replacement will be available, particularly at short notice.
If Kodiak Avenue are unable to perform and a suitable replacement cannot be arranged, all monies paid by the Client, including the deposit, will be refunded in full.
Examples of circumstances that may prevent Kodiak Avenue from attending or performing include, but are not limited to, illness, accident, the death or serious illness of an immediate family member or someone close to the Performers, extreme or dangerous weather, travel disruption, road closures, natural disasters, government restrictions, venue closure, or any other circumstances beyond our reasonable control.
Where the inability to perform is due to force majeure, Kodiak Avenue shall not be liable for any additional costs, losses, expenses or damages incurred by the Client as a result of the cancellation, beyond the refund of monies paid to Kodiak Avenue, except where liability cannot legally be excluded or limited.
5. FAILURE OF THE EVENT OR PERFORMANCE TO PROCEED
If Kodiak Avenue arrive at the venue at the agreed time, fully prepared and ready and able to perform, but the performance does not take place, is cancelled, delayed or prevented through no fault of Kodiak Avenue, the full agreed performance fee shall remain payable, subject to applicable law and the provisions of Sections 3, 4 and 9.
This includes circumstances where the event itself is cancelled or the Client, venue or another party prevents the performance from taking place after Kodiak Avenue have arrived and are ready to perform.
6. PERFORMANCE AREA
The Client agrees to provide a safe, level and suitable performance area with sufficient space for Kodiak Avenue and all necessary equipment. The performance area must be reasonably protected from hazards, excessive foot traffic and other activities that could interfere with the performance or cause damage to equipment.
7. PAT TESTING & EQUIPMENT SAFETY
All relevant electrical equipment used by Kodiak Avenue is PAT tested and maintained to a suitable safety standard.
Our equipment is regularly checked and maintained to ensure it is safe and suitable for use.
8. ELECTRICITY SUPPLY
The Client is responsible for ensuring that a safe and suitable mains electricity supply is available close to the performance area. Any electrical supply provided by the venue must be suitable for the equipment being used.
9. OUTDOOR PERFORMANCES & WEATHER
Where the performance is outdoors, the Client must provide suitable shelter to fully protect Kodiak Avenue and all equipment from:
• Direct sunlight
• Excessive heat
• Rain
• Wind
• Other adverse weather conditions
The shelter must be suitable for the size of the performance and equipment and must be in place before Kodiak Avenue begin setting up.
Kodiak Avenue reserve the right not to perform, or to stop performing, if suitable shelter is not provided or if weather or environmental conditions are considered unsafe or likely to damage our equipment.
Short-Notice Cancellations Due to Adverse Weather
Where the Client cancels or decides not to proceed with a performance at short notice, including on the day of the event, due to rain, adverse weather forecasts or other weather-related concerns, this will not automatically be treated as force majeure.
Where Kodiak Avenue remain willing and able to perform safely, subject to suitable shelter and appropriate performance conditions, the cancellation will be treated as a cancellation by the Client and the cancellation terms in Section 3 will apply.
Where extreme or dangerous weather, or another genuine force majeure event, makes the performance impossible or unsafe, both parties will first make reasonable efforts to agree an alternative performance date, subject to availability.
Where an alternative date cannot be agreed, the parties' rights and obligations, including any refund due, will be determined in accordance with applicable law and the circumstances of the cancellation. Any alternative performance date agreed by the parties must be confirmed in writing.
10. EQUIPMENT & MICROPHONES
Kodiak Avenue provide the sound equipment required for our performance.
Our microphones, PA system and other equipment are provided for the exclusive use of Kodiak Avenue unless otherwise agreed in advance.
We do not lend or hire our own microphones or other equipment to guests, speakers, DJs, singers, musicians or other third parties.
Any request for the use of our equipment must be agreed with Kodiak Avenue in advance.
11. CHILDREN & DOGS
For the safety of Kodiak Avenue, guests and our equipment, children and dogs must be kept away from the performance area and all musical equipment at all times.
The Client is responsible for ensuring that guests, including children, do not interfere with, climb on, touch or otherwise handle our equipment.
12. LICENCES & VENUE PERMISSIONS
The Client is responsible for ensuring that the venue permits live music and for obtaining any licences, permissions or approvals required by the venue or relevant authorities.
Kodiak Avenue cannot be held responsible if the performance cannot proceed due to venue restrictions, licensing requirements or failure by the Client or venue to obtain the necessary permissions, subject to applicable law.
13. PARKING & ACCESS
The Client agrees to provide free parking, where reasonably available, as close as possible to the performance area. This is required to allow Kodiak Avenue to safely load and unload musical equipment.
Where free parking is not available and parking charges apply, these shall be the responsibility of the Client unless otherwise agreed in advance.
The Client should also ensure that there is suitable access for loading and unloading equipment.
14. PERFORMANCE TIMES & BREAKS
Kodiak Avenue will perform for the agreed duration and number of sets stated at the time of booking.
Where the booking includes multiple performance sets, a short break of up to 15 minutes will be taken between sets.
Any changes to agreed performance times should be discussed with Kodiak Avenue in advance.
15. DRINKS
The venue agrees to provide complimentary drinks to the Performers throughout their time at the venue to ensure they can remain hydrated during the performance.
16. BEHAVIOUR & SAFETY
Kodiak Avenue reserve the right to refuse to perform or to end the performance immediately, without refund, if we are subjected to abusive, threatening, aggressive, dangerous or unsafe behaviour from the Client, venue staff or guests.
We also reserve the right to stop performing if our equipment is deliberately or repeatedly interfered with or if continuing the performance would present a safety risk.
Any payment or refund consequences remain subject to applicable law.
17. LIABILITY
Kodiak Avenue maintain Public Liability Insurance and will exercise reasonable skill and care in providing our performance.
The Client is responsible for the actions of their guests and for ensuring that the performance area is safe and suitable.
Except where liability cannot legally be excluded or limited, Kodiak Avenue's liability shall not exceed the total amount paid for the booking.
Kodiak Avenue shall not be liable for indirect or consequential losses, including loss of profits, additional event costs or other expenses arising from circumstances outside our reasonable control, except where such liability cannot legally be excluded or limited.
18. CHANGES TO THE BOOKING
Any significant changes to the agreed venue, event date, performance time, performance location or nature of the booking must be agreed with Kodiak Avenue in advance.
A change to the event date is subject to Kodiak Avenue's availability and may be treated as a cancellation and new booking where appropriate. Any agreed change must be confirmed in writing.
19. ACCEPTANCE OF TERMS
Payment of the booking deposit confirms that the Client has read, understood and accepted these Terms and Conditions.
These Terms and Conditions form part of the booking agreement between Kodiak Avenue and the Client.
